Under terms of the Agreement, Symmetry will acquire the surgical instruments product portfolio and associated assets of Codman for $165 million in cash. Codman will provide transitional services to Symmetry Surgical for a period of time following the close of the transaction, including serving as master distributor outside the U.S. and providing certain administrative support. Symmetry intends to finance the acquisition through an amendment to its Senior Secured Credit Facility and the issuance of $65 million of senior subordinated notes. The transaction will be structured as an asset purchase resulting in significant future tax benefits related to the acquisition of assets. The transaction is expected to close by the end of 2011, subject to customary closing conditions and any necessary governmental approvals.
The transaction includes Codman’s reusable stainless steel and titanium surgical hand-held instruments and retractor systems, sterile disposable surgical products (vein strippers, SECTO dissectors, tonsil sponges and surgical marker pens), and sterilization containers. These products are typically used in the surgical specialties of spine, general/OB-GYN, microsurgery/neurosurgery, orthopedics, laparoscopy, cardiovascular, thoracic and general surgery.

Appropriately enough given this contest, Rock’s recognizing the Ryman in support of his newest (and Platinum) album – Born Free. No stranger to Nashville, Kid Rock recently hosted the CMT Awards in June and usually performs as part of CMA Fest (though there was a notable absence of him on the official itinerary this year). He’ll be backed by the Twisted Brown Trucker Band for this date and Ty Stone will open the show, which starts at 7:30. Ticket price ranges for this show were $45-$85 each.
Rock says he plans to have a new album out next year, and as far as the live shows go this writer can say from personal experience that he really doesn’t need all the flash…and on a related note, any of the strippers he sometimes brings along. His music and performance alone provide plenty of energy and he’s usually the highlight of any festival night he plays.

I’d lined up some kick-ass musicians for the night — a Guitar Center contest winner, a fellow who’d played bass for Johnny Cash, my brother, some local heroes — and we played everything from “Equinox” to “Baker Street” while some friend’s of Vodka’s set up a temporary stripper pole in the other room. “I wore panties, which I don’t normally do,” another friend said, “because I hate girls who rub the pole naked.”

Taylor Swift’s frankly imperfect but extremely expressive acoustic performance of her song “Ours” impressed me quite a bit. Best song line of the night: Swift’s “people throw rocks at things that shine” from that song.
Whatever happened to country rock? Remember when appearances on the CMA Awards by the likes of the Eagles caused cardiac arrests by country diehards? That was heresy then. Now, a lot of people tell me that they really miss that.
Now, full-blown rap beats are accompanied by what appear to be nearly-nude Vegas strippers and that now seems to be routine. Why not try recruiting some real Daisy Dukes or Hooters employees or Dallas Cowboys Cheerleaders to be country dancers instead of these gamy-looking strippers? How about getting some wholesome, old-fashioned, decent-dressing, cut-off jeans-wearing, down-home soft-core porn dancers? How are Chevrolet-driving mom and pop and grandpa and grandma reacting to all this at home? Doesn’t matter, the demographers say. The old-timers don’t count in their audience metrics.

Police: Stripper bus for Lions game may be illegal

DETROIT (AP) – Police may put the brakes on a party bus that was apparently operating as a Sunday strip club for reveling Lions fans at a popular tailgating spot in Detroit.
Investigators believe fans tailgating before a recent Lions home game were allowed onboard the “Booty Lounge,” a large red and black bus replete with two stages, steel dancing poles, tinted windows and even a smoke machine, after forking over a $10 donation to its operators, Detroit Police spokeswoman Eren Stephens said Thursday.

David Draper, an attorney who represents more than a dozen strip clubs in Michigan but who does not represent the bus operators, said such establishments require a special license from the city. Still, bus operators might argue that movable venues are exempt and more akin to a “one-off” event such as a bachelor party at a hotel.
