Symmetry intends to finance the acquisition through an amendment to its Senior Secured Credit Facility and the issuance of $65 million of senior subordinated notes. The transaction will be structured as an asset purchase resulting in significant future tax benefits related to the acquisition of assets. The transaction is expected to close by the end of 2011, subject to customary closing conditions and any necessary governmental approvals.
The transaction includes Codman’s reusable stainless steel and titanium surgical hand-held instruments and retractor systems, sterile disposable surgical products (vein strippers, SECTO dissectors, tonsil sponges and surgical marker pens), and sterilization containers. These products are typically used in the surgical specialties of spine, general/OB-GYN, microsurgery/neurosurgery, orthopedics, laparoscopy, cardiovascular, thoracic and general surgery.

3 Columbia men sentenced for human trafficking
NASHVILLE, Tenn. (AP) – Three men from Columbia, Tenn., have been sentenced to prison for a human trafficking conspiracy.
U.S. District Court Judge Todd J. Campbell of Nashville sentenced 35-year-old Nathaniel Roberts to 70 months; 27-year-old Tavoris Roberts and 31-year-old Shermaine Aiden were both sentenced to 41 months.
One other defendant has been sentenced, and another still faces sentencing.
All five pleaded guilty. Federal prosecutors said they conspired to operate a prostitution business. Roberts, they said, called regular meetings of the group, called the “wolf pack,” and discussed police activity and gave recommendations about avoiding law enforcement.

legislative committee met to talk about what to do next and how to help the

Land said if the allegations involve a church, that cannot be allowed to make any difference. “If you do, then these places become havens for abusers,” he said. “There should be safe places for children, and a safe place for children should be any church.”
Land said the Penn State scandal, where officials apparently put protecting the reputation of an institution ahead of safety for children, shows that internal reporting is not enough.
“The church is not immune to this,” Land said. “People have mistaken loyalties.” He recalled one interview with a woman who had come out of a life of prostitution and drug abuse who was a Baptist preacher’s daughter molested by the youth minister when she was 13.

The investigation began at the end of April when a 27-year-old known prostitute reported that Poole, in uniform and on-duty as a South Precinct patrolman, stopped her as she walked the streets south of downtown. She told officers that Poole patted her down to the point of fondling her and that he appeared to make verbal propositions, but she said she rejected his advances.
Her testimony did not support the charge when she took the stand during the trial.
“The indictment claimed there was some kind of sexual battery, when in fact, she was never touched sexually,” Scruggs explained.
Poole still faces several other charges, including sexual battery, four counts of rape, three more counts of official misconduct, a count of patronizing a prostitute and a count of attempting to patronize a prostitute in a police zone in connection with three other women police identified as victims.
